Inside The Ownership Box: What Businesses Report On Form 4

When looking at an investment, it is the disclosures of ownership that allow an investor to find out the movements and positions of a company's insiders. A company's insider, for example, a director, an officer, or the beneficial owner of the company's securities, may be subject to certain insider trading requirements that could affect the company.

a)     Identifying the insider

b)    Transaction recording

c)     Ownership disclosure

d)    Showing ownership after transactions

e)     Market transparency

Ø  Identifying the insider

The SEC Form 4 also reveals who filed it, including the person being reported and the relationship of the reporting person with the company. That way, the nature of the position of the person to the company as an insider, for example, if the person is a director, an officer, or another person with insider reporting requirements, will be shown.

Ø  Transaction recording

Form 4 is generally used to report beneficial ownership changes, including purchases, sales, grants, and any other reportable security transactions. In the way that investors understand and compare insider trades and public market trades, these kinds of data help provide a consistent method.

Ø  Ownership disclosure

Form345may help you complete Form 4, but there's a difference in their purposes. Whereas the former can be filed to cover various types of securities changes and ownership of a parent and its subsidiaries, the latter usually reflects what an insider has done as opposed to just a disclosure made through the company.

Ø  Showing ownership after transactions

The SEC Form 4 disclosure also indicates how much the reporting person's insider holdings have increased, changed, etc., as a result of the insider trading transaction. Footnotes may be used to explain that the beneficial ownership may be direct/indirect.

Ø  Market transparency

Through a publicly available SEC reporting system, Form 4 filings are made public, giving investors a means not only of finding insider trading activity but also of examining it against company information and regulatory filings disclosed publicly.
